The details
Terms of Service
1.Introduction and Acceptance
Welcome to Appius ("Company," "we," "us," or "our"). These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Appius governing your access to and use of the Appius platform, including our website, applications, APIs, and all related services (collectively, the "Service").
BY ACCESSING OR USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. If you do not agree to these Terms, you must not access or use the Service.
These Terms include important provisions regarding user-configured investment tools, limitation of liability for investment losses, mandatory arbitration, and class action waiver. Please read them carefully.
2.Service Description
2.1Nature of Service
Appius is a software platform that provides AI research, portfolio review, risk analysis, dividend intelligence, and user-directed controls. The Service allows users to define rules, parameters, and constraints that govern how their connected brokerage accounts operate.
2.2How Appius Works
The Service functions through the following mechanisms:
- Market data analysis and portfolio tracking tools
- User-defined allocation rules and risk parameters
- Committee-generated recommendations that require explicit user approval before an order is placed
- Recorded decision reviews and available order information
- Tools to review recommendations, decline proposals, and manage supported orders
2.3User-Directed Execution
Committee-generated trades require your explicit approval. On supported trade-ready connections, approval starts the order process after applicable checks. Read-only connections do not enable in-app trading through that connection. Manual orders are a separate, user-directed workflow.
2.4Not Investment Advice
Appius is a technology platform that provides tools and analytics. Appius does not provide personalized investment advice, financial planning services, or act as a registered investment adviser. Appius does not act as a broker-dealer, does not custody funds or securities, and does not access or store your brokerage login credentials. Any insights or analytics provided are informational only and do not constitute recommendations tailored to your specific financial situation.
3.Eligibility Requirements
3.1Age Requirements
You must be at least 18 years old (or 21 in jurisdictions where required) to use the Service.
3.2Jurisdiction
The Service is intended for use only in jurisdictions where such investment software services are permitted by law. You are solely responsible for ensuring that your use of the Service complies with all applicable laws and regulations in your jurisdiction.
3.3Brokerage Requirements
To use supported in-app brokerage actions, you must maintain a valid brokerage account with a supported broker. You are responsible for all requirements, fees, and obligations associated with your brokerage account.
3.4Identity Verification
Some brokerage services require identity verification in accordance with applicable Know Your Customer (KYC) and Anti-Money Laundering (AML) regulations. You agree to provide accurate information and complete any verification processes required.
3.5Accredited Investor Status
Certain features or investment strategies may be available only to accredited investors as defined under applicable securities laws. If such features are enabled, you represent that you meet the applicable accredited investor criteria.
4.Account Registration and Security
4.1Account Creation
To access the Service, you must create an account by providing accurate, current, and complete information. You agree to maintain and promptly update your account information.
4.2Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use or security breach.
4.3One Account Per Person
Each user may maintain only one account. Creating multiple accounts may result in termination of all accounts.
5.User Responsibilities
5.1Accurate Information
You agree to provide accurate, truthful, and complete information at all times.
5.2Risk Parameter Configuration
You are solely responsible for configuring your risk parameters, allocation limits, and investment constraints. The Service will operate within these parameters, and you accept full responsibility for the appropriateness of your configuration for your financial situation and goals.
5.3Monitoring
You are responsible for periodically monitoring your account, reviewing executed transactions, and adjusting your configured parameters as needed.
5.4Compliance
You are responsible for compliance with all applicable laws, including securities laws, tax regulations, and reporting requirements related to your investment activities.
5.5Prohibited Uses
You agree not to:
- Use the Service for any illegal purpose or in violation of any laws
- Attempt to manipulate markets or engage in fraudulent activities
- Reverse engineer, decompile, or attempt to extract the source code of our software
- Use the Service to develop competing products
- Share your account credentials with others
- Circumvent any security measures or access controls
- Interfere with or disrupt the Service or servers
6.Access and Features
6.1Feature availability
The capabilities available to you depend on the product release, your account, and connected brokerage permissions. Your account displays its enabled features, usage limits, and applicable terms.
6.2Charges and account changes
Any charges or changes to billing must be disclosed in the applicable product or agreement before you accept them. Historical pricing tables do not describe the Phase 2 offer. Brokerage and other third-party fees may apply separately.
6.3Advisor pilots
Advisor pilot scope, data access, integrations, and commercial terms are agreed separately with each firm. Demonstrations on this site use synthetic households and do not establish a customer relationship or grant trading authority.
7.Investment Risk Disclosures
IMPORTANT: PLEASE READ THESE RISK DISCLOSURES CAREFULLY BEFORE USING THE SERVICE.
7.1Risk of Loss
INVESTING INVOLVES SUBSTANTIAL RISK OF LOSS. YOU MAY LOSE SOME OR ALL OF YOUR INVESTED CAPITAL. Past performance is not indicative of future results. The value of investments can go down as well as up.
7.2No Guarantee of Returns
Appius makes no representations or warranties regarding investment performance. We do not guarantee any level of returns, and you should not use the Service with funds you cannot afford to lose.
7.3Market Volatility
Financial markets are inherently volatile and unpredictable. Market conditions can change rapidly due to economic events, geopolitical developments, natural disasters, pandemics, or other factors beyond our control.
7.4Technology and Automation Risks
The Service uses technology to execute according to your configured rules. Such systems may:
- Execute based on incomplete or incorrect data
- Fail to account for unprecedented market events
- Exhibit unexpected behavior in novel situations
- Be subject to technical errors or malfunctions
- Produce results that differ from your expectations despite configured parameters
7.5Technology Risks
The Service relies on complex technology that may experience failures, delays, errors, or interruptions that could adversely affect investment decisions or execution.
7.6Third-Party Risks
The Service integrates with third-party brokerages, data providers, and other services. We are not responsible for failures, errors, or issues with third-party services.
8.User Controls and Execution
8.1User-Directed Configuration
You retain full control over all trading settings and configurations. You define the rules, parameters, and constraints that govern how the Service operates with your connected brokerage account.
8.2Execution Authorization
A committee-generated trade requires explicit approval before order submission on a supported connection. Approval does not guarantee acceptance, execution, or a fill. Broker permissions and market conditions apply. Manual orders follow their own user-directed confirmation flow.
8.3Parameter Constraints
The committee approval path checks applicable Plan constraints against account context. These checks do not apply identically to separate manual-order workflows. Market conditions, execution timing, and liquidity may result in outcomes that differ from expectations.
8.4Responsibility for Executed Trades
Once a trade is executed through your brokerage account, it generally cannot be reversed. You accept full responsibility for all trades executed pursuant to your configured settings.
9.Intellectual Property
9.1Appius IP
The Service, including all software, algorithms, interfaces, content, and documentation, is owned by Appius and protected by intellectual property laws. You receive a limited, non-exclusive, non-transferable license to use the Service as permitted by these Terms.
9.2User Data License
You grant Appius a worldwide, non-exclusive, royalty-free license to use, process, and analyze your data to provide the Service and improve our software. See our Privacy Policy for details on data handling.
9.3Collective Intelligence
Any use of information for service improvement is subject to the Privacy Policy and applicable permissions. This clause does not establish that a particular learning system is deployed or that model or investment performance will improve.
9.4Feedback
Any feedback, suggestions, or ideas you provide regarding the Service become our property and may be used without compensation or attribution.
10.Limitation of Liability
THIS SECTION CONTAINS IMPORTANT LIMITATIONS ON OUR LIABILITY. PLEASE READ CAREFULLY.

Provisions regarding intellectual property, limitation of liability, indemnification, dispute resolution, and any other provisions that by their nature should survive, will survive termination.
13.Dispute Resolution
13.1Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles.
13.2Mandatory Arbitration
ANY DISPUTE ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICE SHALL BE RESOLVED BY BINDING ARBITRATION administered by JAMS under its Comprehensive Arbitration Rules. The arbitration shall be conducted in Wilmington, Delaware.

YOU AGREE TO RESOLVE DISPUTES ONLY ON AN INDIVIDUAL BASIS AND WAIVE THE RIGHT TO PARTICIPATE IN CLASS ACTIONS, CLASS ARBITRATIONS, OR REPRESENTATIVE ACTIONS.
